Terms of Service

These Terms govern your access to and use of Overstax. Please read them carefully — by using the Service, you agree to them.
1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Overstax platform and related services (the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
Overstax is an operational intelligence platform that connects to your business applications, surfaces operational issues and opportunities, measures their impact, assigns ownership, and tracks them through resolution. We may add, change, or remove features over time to improve the Service.
3. Accounts & Eligibility
- You must provide accurate account information and keep it up to date.
- You are responsible for safeguarding your credentials and for all activity under your account.
- You must be at least 18 years old and able to form a binding contract.
- You must notify us promptly of any unauthorized use of your account.
4. Subscriptions, Billing & Renewals
Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. Unless you cancel before the end of the current billing period, your subscription automatically renews for another period at the then-current rate.
- Fees are stated exclusive of taxes; you are responsible for any applicable taxes.
- You authorize us to charge your payment method for all fees when due.
- We may change pricing with reasonable advance notice, effective at your next renewal.
5. Cancellations & Refunds
You may cancel your subscription at any time from your billing settings. Cancellation stops future renewals; it does not retroactively refund the current period unless required by law or expressly stated. Fees already paid are generally non-refundable.
6. Acceptable Use
You agree not to misuse the Service. You will not:
- Use the Service in violation of any law or third-party rights.
- Attempt to gain unauthorized access to the Service or its systems.
- Reverse engineer, resell, or sublicense the Service except as permitted.
- Upload malicious code or interfere with the integrity or performance of the Service.
- Connect systems or data you are not authorized to access.
7. Customer Data & Connected Systems
As between you and Overstax, you retain all rights to the data you provide and the data in the systems you connect ("Customer Data"). You grant us a limited, non-exclusive license to process Customer Data solely to provide and improve the Service for you.
You are responsible for having the necessary rights and authorizations to connect a given system and for complying with any agreements or laws that govern that data.
8. Intellectual Property
The Service, including its software, design, and content (excluding Customer Data), is owned by Overstax and protected by intellectual property laws. We grant you a limited, non-transferable, non-exclusive right to use the Service during your subscription. All rights not expressly granted are reserved.
9. Confidentiality
Each party may access confidential information of the other. Each party agrees to protect the other’s confidential information with reasonable care and to use it only to perform its obligations under these Terms.
10. Warranties & Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
11. Limitation of Liability
To the fullest extent permitted by law, Overstax will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data. Our total liability arising out of or related to these Terms will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold Overstax harmless from claims, damages, and expenses arising out of your Customer Data, your use of the Service, or your violation of these Terms or applicable law.
13. Term & Termination
These Terms remain in effect while you use the Service. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us or others. Upon termination, your right to use the Service ends, and we will make Customer Data available for export for a limited period before deletion, unless prohibited by law.
14. Changes to the Service or Terms
We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance.
15. Governing Law & Disputes
These Terms are governed by the laws of the jurisdiction in which Overstax is established, without regard to conflict-of-law principles. The parties will attempt to resolve disputes informally before pursuing formal proceedings.
